LJL at the absurdity of this. They have 1,200 lawyers making them $2B in revenue. They only have 179 real partners and PP(E)P of $5.6M. How do you screw that up?

It's like having a money printing machine and mismanaging it so bad that you can't pay your bills.

It's their own fault for (a) (presumably) guaranteeing big payments for partners and (b) not being able to slide and let do to weather the storm on "flat" growth. Even if they lost 25% of their revenue, their revenue per lawyer would still top $1M.

LJL again on any business model that requires 13% growth and guaranteed 8-figure salaries to avoid bankruptcy.

These huge guarantees are like gambling. Would probably be better to just operate as a chill, fratty $3M PPP firm than over-leverage your way to $6M PPP and an inevitable collapse.

This is how all businesses fail

Debt, leverage, greed, and a period of slowdown. Wealth transfer to the top just like Jamie Dimon buying failed banks. Those with liquidity, stability, and patience always weather the storm.

It's really it. After working long enough, I've come to the conclusion that there are two kinds of successful businesspeople:

1.) Those that build durable companies through the lens of "what is best for the customer and other key stakeholders" - this requires great patience and discipline, but can lead to the best returns in the long run

2.) Those that figure out how to most efficiently transfer cash from source A to source B while pocketing as much as they can for themselves. The businesses run by these types may look successful, but are mainly just wealth transfer vehicles that get exposed when a downturn hits.

Our economy is chock full of #2. Not good!

#2 always goes tits up in the long run.

Think about all the major banks that got bought by Chase over the years. How many of them got into a mess while thinking, ooh, money printer go brrr, this will never end. There was a point in time when they thought it was impossible that the party could ever stop. But the party always stops and the antifragile win.

For sure service partners should have been saving up for the inevitable.

But, saying it's only half a dozen rain makers is overstating it. This firm has (or had!) 1,200 lawyers. IIRC from my biglaw days, at my firm, no one client was responsible for more than a few percent of revenue and there were over 100 different clients that provided more than $5M in revenue or something.

service partners/of counsel everywhere should plow $3-4 million into index funds or whatever. i worked with a guy who was in his early 70s making a million a year (not a service partner, he had a decent book) and would confide in other partners that he couldn't share credit with younger partners bc he couldn't afford for his comp to go down. he remodeled his kitchen once and had to take a 401(k) loan. most lawyers are sps with money.

Roula Khalaf, Editor of the FT, selects her favourite stories in this weekly newsletter.

Law firm Weil, Gotshal & Manges has tapped restructuring specialists to assess options including a possible wind-down, as the crisis deepens at one of America’s largest and most prestigious law firms.

Weil is working with Brian Resnick, one of Davis Polk’s top bankruptcy lawyers, to advise on a potential restructuring, according to people familiar with the matter.

Davis Polk had previously advised Weil on a possible merger with a rival firm, but those talks collapsed, forcing it to consider other options. Beyond an unwinding, other options for the firm include a last-minute merger, or a slimmed-down standalone entity.

Davis Polk has worked on some of the highest-profile restructuring proceedings in the recent history of corporate America including AIG, Purdue Pharma and Spirit Airlines.

Weil is also interviewing several financial consultancies for a role to analyse its books and determine a course of action, the people added. Weil’s obligations include pensions and office leases around the world.

The move marks a rapid change of fortune for a firm that, just this summer, was ranked as one of the US’s top 30 law firms by revenue, which topped $2bn last year.

The Wall Street powerhouse was rated the 15th most prestigious law firm and was separately named by The American Lawyer in August as “A-List”, based on factors including revenue per lawyer, pro bono commitment and the satisfaction of its associates.

Ramona Nee, the partner chosen to lead Weil from January, has told the firm’s management committee that she will no longer take the job, the FT has previously reported. Nee informed her colleagues of the decision in September.

Weil and Davis Polk did not immediately respond to requests for comment.

Weil, which employs about 1,200 lawyers globally and a further 1,000 staff, has been engulfed by a crisis in recent months following the departure of several top lawyers.

Chris Machera, who co-led Weil’s private equity practice, announced his departure in August, with other partners later joining him in a move to Paul Weiss.

In September Michael Aiello, Weil’s best-known US corporate M&A lawyer, announced he was leaving for Cravath with a group of colleagues. The same month David Avery-Gee, co-head of its London office, announced his departure for Sullivan & Cromwell.

The run of departures by some of the most important generators of revenue at Weil hit its business model and unsettled other lawyers, many of whom have since been in touch with other law firms as they try to assess contingency plans.

The crisis highlights how even the largest and longest-established law firms can be thrown into turmoil by an exodus of top talent.

Shutdowns among large US law firms are unusual. Stroock & Stroock & Lavan shut its doors in 2023. Dewey LeBoeuf filed for bankruptcy in 2012. Cadwalader, Wickersham & Taft and Shearman & Sterling, both in recent years suffered a series of departures that led to mergers with rivals, though they are significantly smaller than Weil.

they are smart not to use their own lawyers not only for "conflict" reasons, but most or all of the team they would put together to do this is probably going to be gone in the next month or two.

it's really insane how all these firms founded in the early 1900s/20s or whatever have failed in the last 15-20 years.

Yup. Ppl say public sector is the last remaining Union stranglehold but they ignore regulated-profession cartels.

It really doesn't matter, the same amount of law fag work exists independent of law firm politics. A lot of the Weil restructuring practice will either spin off to its own firm/join another firm and some of them will just scatter to existing practices. So the same fags will be doing the same work with different letterhead. The last thing we should be nostalgic for is fucking law firm letterhead lmao.

This is true. Nobody has loyalty to a firm anymore, nor should they. I left BIGLAW in 2022 because I was a nameless cog in a machine and my comp sucked. I stole some clients and left. I’ve been at like 3 firms since then and my comp has more than doubled and will be significantly higher next year. lol at anyone feeling any sense of loyalty to a firm that will get rid of you the second there’s a downturn.

CR exactly. It's not even a hallowed 'institution' like cravath or sullcrom or even DPW. Even back when it was V10, it was a weird inclusion in the V10. You might say Weil : V10 :: skadden : V5
