It put together a ~2400 word side letter that was basically perfect from version 1. It summarized a 37 page subscription agreement flawlessly. Ran my entire diligence review for me perfectly. ID'd all missing docs so I could pester Cooley like a pro and even drafted all my emails to Cooley for me. The emails needed editing for brevity and make me sound like less of an asshole but from a purely technical point of view -- every bullet Claude put in was correct.
The sub-docs on these kinds of deals are minefields because they have to be read together with charters, ROFRs and IRAs and the transfer restriction language and how various share series work together can be a major PITA since there are often tandem concurrent clauses and MFN provisions on top. Hyper-hyper technical and none of it is made easier by the overarching complexity of the structures used to get around "defacto public company" rules. Series LLCs can be rendered non-viable by a simple error in their CoFs not reciting a series election -- 2 missing sentence can fuck up a $40bn vehicle so you have to know to check CoFs. Then there are complex tax questions and shit like 3(c)(1) v. 3(c)(7) elections you need to paper around.
Claude knows how to read all these docs and does it in 10 minutes. I can do it too but the same review will take me an entire day line by line with a literal fucking pencil and Excel open so I can map terms to my list of known minefields.
Anyone bitching about AI just doesnt do technical work of any kind. This shit is amazing. It has saved us -- hundreds of thousands of dollars in legal spend just on these Private Market deals. But that's just the start. I have setup regulated subsidiaries in foreign jurisdictions with nothing but Claude and me. It drafts every policy doc. It knows every ask a regulator could make. It hand held me through a DORA review this week when I could not understand one fucking thing about DORA and the commie BS driving it. On the reg-compliance stuff Ive been using it for -- its saved us legit 7 figures in spend. I have done the work of 30 lawyers and a half dozen firms. At times I feel like a freakin lawyering god using this shit.
To the extent I have taken shit to outside counsel recently its all been basically to just run a sanity check on Claude. I went to Norton Rose last week with a question about what how exactly a certain FCA notification needed to get done in the UK only because there is no form for it and its a personal relationship kind of thing with the regulator but Claude gave me the same answer NR did.
This shit is going to blow up the profession. Us senior folks are set for life but who the fuck will train juniors? No clue. No one is thinking about institutional continuity. Nothing a junior used to do is ever going to be trusted to a junior again. Claude does it better. |
