The Legal Counsel will be responsible for all legal and regulatory aspects of a separately managed fund focusing on crypto assets.
The core responsibilities will fall into the following areas:
Investment Transactions:
The Legal Counsel will be responsible for all legal-related aspects around crypto investments:
Legal diligence
Investment contract documentation
Manage a team of external law firms to assist where appropriate with deal mechanics and documentation
Coordinate with the finance/operations members of the team to formalize and execute a deal close process
Firm Compliance with Appropriate SEC Regulations:
The Legal Counsel will be responsible for managing the firm’s/fund compliance with all SEC/other regulations:
Function as the Chief Compliance Officer
Manage an external compliance firm to ensure ongoing compliance with RIA rules, including all relevant internal firm policies
Develop and file the firm’s annual Form ADV requirements
Firm Compliance with All Other Regulatory/Legal Requirements:
The Legal Counsel will be responsible for all legal-related aspects concerning the day-to-day operations of the firm/fund:
Oversee any potential human resources-related matters
Manage any litigation that may arise
Work with the investing partners to ensure appropriate fulfillment of any board-related fiduciary duties
Work with the investing partners on day-to-day corporate matters that may arise in relation to portfolio company investments
Work with outside D&O brokers and carriers to manage the firm’s policies and any related engagements around litigation or other risk exposures
Ideal Candidate Background:
JD degree
Minimum of 3-5 years of post-law school work experience in business transactions and/or SEC compliance
Demonstrated interest in and willingness to learn more about crypto networks
Ability to operate in an area where the regulatory, legal and business climate remains largely unsettled
Ability to work in a fast-paced environment where time is of the essence and responsiveness to often short timelines to execute transactions is required
Strong work ethic and great interpersonal skills that foster a team environment
High degree of integrity and professionalism
