having done both fund formation and m&a, I will tell you that funds work is a best of times/worst of times practice.

At its best, you do get a shitload of negotiation experience because you have a million LP's in the mix. The stuff may seem rote but drafting wise, it isn't that different from m&a - some novel stuff does pop up and you have to be crafty. You also really get to know the client well because they may shop around and use a variety of firms for deals but typically just one firm for the funds work.

At its worst though it can be really bad. A lot of it is organization dependent and can really be the opposite of "lifestyle" when three or four fundraisers are hitting at the same time. The subscription book/investor chasing process is worse than due diligence but you can escape it relatively quickly.

It is probably as close as one can get to really being an old school corporate lawyer that gets to advise on a variety of shit because employment issues pop up a lot, IP issues pop up and plenty of regulatory issues pop up and you kind of need to be able to speak to all of it (specialists come in plenty but mainly tax). It's also sometimes paper pushing heavy par excellence which can be very crushing.

M&A seems sexier but really isn't terribly different. Still working off forms and precedent, but the negotiations are more combative because folks can give on things more and funds stuff gets pretty static after not too long. First time funds are the most enjoyable. Beig on the LP side sucks.

My v5 had rotations so you could do a little of each which is how it used to be a decade ago and is probably the most enjoyable way to do it. I guess m&a can crush weekends and holidays but fundraises certainly have the power to do the same. There are a handful of firms that do both well and that's the best spot to be in, I think.

There are more openings for litmos in big fed but probably less opportunity? Like virtually all litmos in biglaw want bigfed (or get pushed out and need it) while trannies have better private sector options so it seems like there is less competition for the smaller number of tranny openings.

They often advise the core practice groups like M&A and bankruptcy on all IP/tech aspects of any deal. Works very much like tax or ERISA/labor groups in that way. Increasingly there is a separate sub group that focuses solely on data privacy and info security. Lots of lawyers in house needed in those areas as companies have entire teams dedicated to implementing GDPR or whatever latest legislation is rolling out. Hours are not as bad as the core corporate groups.
