strategy usually meaning market access. lawyers help if there's a legislative strategy needed in order to open a market up. for vanilla market entry analysis, nobody's turning to the GC. litigation is usually outsourced unless it's a material cost of the business.

In my firm, and I assume most firms, the only lawyers who actually know and understand industries (banking, real estate development, hospitals, insurance, etc.) are the transactional lawyers. Most litigators have brains packed with specific procedural and evidentiary rules that no one outside law cares about.

The fundamental problem with big law deals is that your clients understand the deal way better than you - so you're essentially just a monkey scribe.

It's much different than a midlaw deal where some jerkoff just inherited his dad's tire business and wants to sell it to your client and use his frat brother who does DUI defense as counsel. I'm exaggerating, but you get the point.

I had to work on some of those types of deals during the pits of ITE and you're not exaggerating by much. Those were the darkest moments of my career -- really wondering what I was doing with my life. With another BigLaw firm on the other side on bigger deals, at least someone with minimal competence who has seen a deal before is looking at things. Those shitlaw/lower-midlaw deals are throwing words and docs into a black hole. And then there's the issue of collecting and justifying your bill.

I've gone from biglaw to midlaw and actually find the smaller deals more interesting and fun to work on because you're basically structuring and executing it from start to finish, as opposed to taking orders from a banker or the client's M&A guy. The billing is harder but, unlike other parts of midlaw practice, capital isn't usually an issue when companies are buying and selling.

I made the same transition and while I did enjoy feeling a much more in involved in business issues and structuring etc. I often also felt like I was basically representing both sides in the transaction because opposing counsel was basically non-existent.

As you get more senior you spend even more time on deal calls, get a lot more phone calls from clients asking if they can do XYZ and how they should do it, and spend a lot of time overseeing junior associate and paralegal diligence. I still only proof my own work.

I was just dragged into a transactional matter this week that raised questions of federal preemption. ARE bank is entering a new market and introducing a new product and this one state regulator says they can tell us what to do even though we are federally chartered. We had to write to the OCC to get a letter from them saying one way or another and then present that shit to this ghetto state. Shit was mad interesting though I was only brought in to opine on a stupid and barely related Reg W issue. Regulatory work often straddles transactionak and litigation. If we didnt like the answer we got we would have sued. Best and worst of both worlds.
