Good morning, I hope you’re enjoying the holiday weekend. An important client of the firm reached out to me and would like us to do a 50 state survey on how net operating losses are handled in each state for S corporations generally, and also after a change of control. To be safe, let’s also include DC, PR, Guam, NYC and maybe just the other large US cities.
This client is very cost conscious and we had a billing issue with the last matter so please put your time on this down as client development time. Don’t worry, I’ll let the necessary people know that you stepped up here.
The client needs to present this at an internal meeting on Tuesday afternoon so I’d like to get this over to her by Monday night. Please do not use Word or Excel for this, client has requested PowerPoint. Also, please use client’s company PowerPoint template (see attached).

Received some clarification from the client-- an S-Corp isn't the only possibility here, they may explore structuring this in alternate ways. It doesn't have to be as deep as the main project, but we should have a brief section outlining the alternatives. I leave it to you on whether there's enough content for one slide explaining all those (two-three sentences each) or we need one slide per alternative or otherwise. Tom isn't a subject matter expert but he does know this client so may have organization or general comments adding him to this chain in case he has any feedback.

I don’t think a discussion is necessary.
Many states require an S corp election to affirmatively be made while some states just default to federal status. For the states where an affirmative filing is needed, you’ll need to list the proper form, instructions on how to file such form, fees, deadlines, etc. For the states where no filing is needed, you’ll need the citation proving such.
Additionally, client is a C corp (which you should know from your work on Project Ramrod) so they are, of course, interested in how the rules for NOLs work in each state once they are passed through.
One of the biggest requests we get from associates is for more feedback. Well I’ve believed that if one asks, one should receive. Frankly, I’m disappointed that I had to spell all of this out for you. You’re not a first year anymore and you should not need hand holding. Try and keep this in mind going forward.

We need to get to client by Monday night so need to deliver to Elliot first thing Monday morning. Send me the first couple slides once you have them ready so I can give them a quick look and confirm they’re what Elliot wants before you go through all 50. This should be done ASAP so that you can crank out the rest of them over the course of tonight and through tomorrow. I’ll be able to review tomorrow evening for you to turn any of my comments before sending on to Elliot Monday AM.
Elliot’s email should explain everything but do not spin your wheels on any of this and let me know if anything doesn’t make sense. 50 states gives you 30 minutes per state if you want to finish by 8pm tomorrow night (assuming 4 hours of sleep tonight). This is a big lift and so you shouldn’t waste any time if something isn’t clear.
It may also make sense to focus on the states client has majority of its operations (NY, CA, DE, DC, TX, etc.) Looping in Shrew Midlevel. Please confirm these are the states Johnny should focus on first and if there are any others that should be a priority.
Also CCing Head Paralegal and Summer Coordinator — please let us know if there is a paralegal or two available as well as a summer associate who can assist. This is an interesting assignment and if any summer is free would be good to get their feet wet on these client dev matters.

I got in touch with Bitch Boi and he is working on the lower risk states -- in particular the midwestern states like Colorado and Kansas. I will check his work, and I told him to bill to client development.
Asian striver is also ready to help but is at capacity working on a project for Power Bottome Senior Counsel. Should ask Power Bottom to back off? I really think we can close this out by midday tomorrow with Asian striver. She is also happy to work through the fourth.
I will start on the executive summary now, and we can fill it in as we advance. Separately, today is coincidentally my mom's birthday. I am going to be out of pocket for a bit. We're having a small dinner for her. I'll have my laptop with me and will be monitoring my emails. I rarely do this, but she is battling cancer and I really want to be there for her.

As we discussed at the beginning of Project Neptune, tax should always be involved at the outset of any project involving this client given their sensitive tax structure. Please see attached for the email chain where I explained this to you back in October of last year. I understand you had just started at the firm at that time, but these process points must be adhered to or else we won’t be able to provide the quality of service our clients expect.
Please review the attached email chain carefully. It specifies that Brian Goyman is the lead tax associate for this client. If you recall, Moishe helped out on the last deal because Brian was out on his two weeks paternity leave. Please reach out to Brian ASAP, CCing me, and have him begin review. He may need to cancel his July 4 plans because of our failure to loop him in in a timely manner. This sort of breakdown in process is not acceptable and we need to make sure it doesn’t happen again. Do your drafts incorporate comments from our ERISA team with respect to Client’s OpCo subs (relevant email chain from Project Juno attached)?
No problem with you taking any time off after this upcoming week from my perspective but please have coverage for this deal and make sure to check in with any partner in charge of any other matter you’re currently on to make sure no issues.

Something similar to OP happened to me a few fourths ago and was the reason I finally quit biglaw. I think I put in 70+ or so hours over the 4th holiday weekend (Friday-Monday or whatever it was that year) on short notice after the client had fucked something up internally and needed a fix. Partner didn’t bother logging on all weekend and tossed some worthless first years my way as “help.”
Oh, and to make it better, after the weekend the urgency dropped as we got a 2+ week extension. So it was really all pointless. Was in house a few months later.
