This isn't really like a traditional noncompete agreement, which deals with what happens after an employee leaves or the contract expires.

It's the terms of his contract that he is still under that likely says he can't work for anybody else while he's under contract. Making 10 minute twitter videos is not working for somebody else. I don't see how you could read a contract term that would prohibit him making these videos that wouldn't also prohibit him from using Twitter or other social media period.

Enforceability is a separate issue from drafting the contract, which we discussed up thread.

The law varies a lot on non-compete by state but in some states you can enforce a bar on competition with the former employer especially where the employee is high value/unique. Ultimately whether this uploading is enforceable against this conduct will depend on the contract and the law of the state.

Standard talent agreements usually include an Exclusivity covenant that grants the network the exclusive right to the talent's services in all media for the contract term. Additionally, such agreements often include a condition that the network is under no obligation to actually use the talent's services. These contracts often provide for injunctive relief as a remedy for breach because of the special, unique, unusual, and extraordinary value and character of the talent's services.

As long as Fox continues paying Tucker pursuant to his contract, Tucker will be required to comply with those obligations. With respect to appearing on podcasts/TV shows/etc. as a guest or writing a book, I'd imagine there's a process for getting approval from the network.

I meant that he's not being compensated by Twitter, or some other competitor to Fox, so it's not as if there's clear cut competition.

Tucker signed the contract to be compensated for broadcasting a show. I'm sure that The answer to this depends on the wording of the contract, but it seems to me that he could potentially say that part of the contract is Fox providing him the opportunity to broadcast, and that they cannot simply pay him to shut up for two years. Am I entirely off base here?

Assuming the contract is reasonably drafted and he's covered by the primary term (not the covenant not to compete afterwards) he has zero options that do not expose him to catastrophic litigation.

The language in the contract is likely broad enough to cover whatever they want it to (during the primary term). He has probably consented to a jurisdiction where this is specifically enforceable.

He can take a risk and make a political decision that Fox will not take legal action because of appearances (what his Twitter show was probably banking on) but that is not a legal consideration.

Legally he is fucked.

After the primary term if there is an extended CNC after compensation ends enforceability is much dicier. I do not have multi-state experience with CNCs but would assume this period cannot extend more than 2-3 years in any case.

bottom line: His twitter show absolutely can be competition even if unpaid. And, during his primary term (while Fox pays him) he's hooked.

There appears to be a contingent on XO that sincerely believes that no matter what, courts will strictly interpret and enforce EXTREMELY broad and long non-compete agreements -- right up to and perhaps including throwing someone in jail for not complying with a court order issued to enforce them which forbids a person from publicly sharing their own personal opinions on important political issues of the day (if that's what the noncompete ostensibly says they can't do) in the lead up to a presidential election year -- because noncompetes are ironclad legal chains that trump all other considerations in the world, and if it says X in the contract, then judges have absolutely no ability to ever refuse to enforce X or limit the enforcement or X or curtail the reach of X or judicially modify what X says or...

Then there are people on XO who think that in the real world, courts regularly strike down, or, if they do enforce them, judicially modify noncompete clauses that they find to be unduly broad or burdensome or long in duration when weighed against a whole host of other considerations (public interest, etc.), and that realistically in any event the *actual* practical recourse for a company that seeks to enforce a noncompete against an employee who is being given a bunch of money to sit at home and refrain from sharing his own personal political opinions online is the mere forfeiture of that money (and possibly repayment of any of it that has already been paid out), rather than sending the guy to jail for "contempt" if he continues to share his personal views on political issues online in the year leading up to a presidential election.

IMO it's very hard to figure out which group is correct and has a good grasp of the world, and which group is totally fucking retarded and has not idea what it's talking about. We'll just have to wait and see!

Nice summary. I fall into the second category. Seems like not only is this noncompete overly broad and burdensome, it's against the public interest and violates defendant's 1st amendment right to free speech. I don't claim to know non-compete laws in every state, I do know my state has strong anti-SLAPP laws that would allow Tucker to SLAPP back Fox to recover damages for abuse of legal process. Many states' anti-slapp statutes also disfavor non-competes restricting communications in connection with matters of public concern, including communications about healthy, safety, environmental, economic or community well-being.

Though, arguing that Fox committed fraud and breached contract first is more straightforward.
